Web Site zobaba.com (להלן: ״האתר״) הינו אתר ברשת האינטרנט, המספק שרות של תוכנה לניהול חדרי כושר וסטודיו לאימונים משונים וכן מערכת אוטומציה המאפשרת ללקוח מתן שירותי דיוור ישיר ללקוחותיו (להלן: ״השירות״ או ״השירותים״). בעלי האתר ומפעילו הינו העסק טרבון שמשרדה רשום ברח׳ הפועלים 8, נצרת (להלן ״העסק״ או ״טרבון״)
הוראת מסמך תנאי שימוש זה יחולו על כל פעולה שתבוצע על ידי המשתמש באתר. מסמך תנאי שימוש זה מהווה חוזה התקשרות מחייב בין המשתמש ובין טרבון, לכל דבר ועניין. מובהר כי הגלישה באתר ו/או ביצוע פעולות באתר, מהוות הסכמת המשתמש לקבל ולנהוג על פי הוראות תנאי השימוש. אם אינך מסכים/ה לתנאי השימוש, הנך מתבקש לא לעשות כל שימוש באתר ו/או בשירותים המוענקים במסגרתו. ויודגש, כל המבצע פעולה באתר מצהיר כי הינו מודע להוראות תנאי השימוש ומקבלם, וכי לא תהא לו ו/או למי מטעמו כל טענה ו/או תביעה כנגד בעלי האתר ו/או מפעיליו ו/או מי מטעמם מלבד טענות הקשורות בהפרת התחייבות בעלי האתר ו/או מפעיליו על פי תנאי השימוש. כשרות להשתמש באתר.
Proceeds and Payments
- The services on the Site are provided for a fee, for fixed or variable licensing/subscription fees at the Company's discretion, depending on the price list that will change from time to time. In the case of a fixed subscription fee, the User will be charged the subscription fee regardless of the duration of the user's use of the System and/or its applications, including cases in which he did not use the system at all.
- Payment will be charged in advance according to the billing period set when you register for the Services (monthly). In the case of a user who pays a monthly subscription fee, cancellation can be announced at any time by contacting the Company's technical support center or by email to the company. The Company will cease charging the user the subscription fee beginning at the end of 30 days from the delivery of the cancellation notice. No subscription fees will be refunded for the 30-day period.
- The fees for using the system will be charged according to the type of program to which the user has signed up, as well as the maximum amount of customers in the month of the charge. It is clarified that no credit or refund will be granted for reducing the amount of customers during the commitment period.
- בנוסף לדמי השימוש הקבועים במערכת שיגבו מראש, ייגבו מן המנוי באופן חודשי דמי שירות נוספים כדלקמן : חיוב בגין הודעות טקסט (SMS או וואטסאפ) שנשלחו בחודש הקודם.
- Adding and removing customers is the customer's responsibility only. Any customer who is added beyond the maximum number of customers and who is in "active" status will be charged regardless of actual system activity.
- מובהר, כי תשלום עבור הודעות טקסט הנשלחות על ידי המשתמש במסגרת השירות אינו כלול במחיר הרישיון ויחוייב בנפרד לפי כמות ההודעות שנשלחה בפועל. כל הודעת טקסט הינה בעלות של 11 אגורות להודעה + מע״מ (או כפי שיעודכן מעת לעת על ידי החברה). אורך כל הודעה מוגבל ל – 100 תויים, כאשר בגין כל 100 תווים יחוייב המשתמש על שליחת הודעה נוספת.
- The Company will be entitled to change the price of the Services at any time, at its sole discretion. Notice of the change in the price list, if there is a change, will be provided by email provided by the user to the Company at the time of the call. - התשלום בגין השירותים יבוצע באמצעות כרטיס אשראי או הוראת הקבע אשר חתומה בין העסק ללקוח, אלא אם תסכים החברה בכתב לצורת תשלום אחרת. בעת רכישת השירות, הינך מאשר לנו לחייב את כרטיס האשראי עובר כל דמי המנוי לתשלום במהלך תקופת השירותים.
- If a credit card error occurred at the billing date for various reasons such as an incorrect credit card, expired credit card, missing frame, theft, etc., a message will appear in the system that the credit information must be updated. The customer must update proper credit card information independently through the system. Following the error message after the first billing failure, the system will try to charge for 5 days in a row. If this charge fails, the system will be locked for use for 10 days until payment is arranged, after 10 days the exercisers ' app will be locked for use. When arranging payment, the customer will be charged for the existing debt in the system.
- The company will produce a tax invoice lawfully. The monthly invoice will be sent on the day of the billing date to the e-mail address of the administrator (the main user of the service set up when the account was created)
- The subscription fee listed on the site does not include VAT, which is charged under the law.
Use and limitations of use
- You undertake to act in accordance with our Common Use Policy, as will be updated from time to time.
- Your use of the Service must be carried out according to the laws of the State of Israel (and/or any country in which you reside or from which you access the Service).
- We may make improvements, changes, upgrades and/or omissions to the Website and/or the Services offered therein, at any time, without notice and at our sole discretion. You will not have a claim, claim or demand against the Company for making such changes and/or malfunctions that occur as a result of their implementation.
Terms of use of the Automation System for direct mailing Services and Anti-Spam Policy ("Sapm")
כאמור לעיל, בין שירותיה של טרבון קיים שירות של מערכת אוטומציה לשירותי דיוור ישיר, אשר, יעניקו ללקוח אפשרות לערוך אוטומציה של פניה לגורמים המנויים במאגר המנוהל על ידי הלקוח. למען הסר ספק אנו לא נבצע דיוור ישיר בעצמנו, אלא רק נספק את מערכת האוטומציה אשר מאפשר זאת ללקוח. אין לנו כל חשיפה או גישה למאגר המנוהל על ידי הלקוח לצורך הדיוור הישיר, ואין לראות בנו כמי שעורכים את הדיוור הישיר בעצמנו. כמו כן, איננו מספקים, מעבירים, מוכרים או סוחרים של מאגרי מידע או רשימות של פרטי התקשרות או דואר אלקטרוני של צדדים שלישיים.

In your use of the System you will not in any way use third party mailing lists nor will you prepare or distribute spam or spam in any form.
You know that not all messages sent through the use of the system will be received by their recipients or opened by them.

- טרבון אינה ולא תהווה ״מחזיק״ של המידע או מאגר המידע, כהגדרת המונח בחוק הגנת הפרטיות, תשמ״א -1981, ולא יחולו עליה הוראות החוק, או התקנות, ההנחיות והנהלים שהותקנו על פיו (להלן: ״חוקי הגנת הפרטיות״). כל האחריות ביחס למידע, אחזקתו, תוכנו, חוקיותו, עיבודו וכיו״ב, ובין היתר מכוח חוקי הגנת הפרטיות, תחול על הלקוח בלבד, ולטרבון לא תהא כל אחריות ביחס למידע, לאחזקתו, לעיבודו או לשימוש בו.
- הלקוח מתחייב לקיים את כל חוקי הגנת הפרטיות באופן מלא ופוטר את טרבון מכל חובה או התחייבות מכוח חוקי הגנת הפרטיות, אלא אם נטלה אחריות כאמור במפורש בהסכם בכתב עם הלקוח. הלקוח לא יעלה כל טענה כי חוקי הגנת הפרטיות חלים עם טרבון או כי טרבון הינה בגדר ״מחזיק״ או בעלים של המידע. הלקוח מתחייב לשפות את טרבון מפני כל תביעה ו/או דרישה הנוגעת לוקי הגנת הפרטיות ו/או הפרתם.
Subscription period, termination, Suspension
- As a prerequisite for canceling your subscription and discontinuing the charges, you will be required to confirm by written notice (including by email) that you are aware that all information that you have entered or that exists on the Service will be permanently deleted upon termination of the Service. You acknowledge that you are aware that the subscription cannot be frozen, and upon receiving notice of the cancellation, the data will be deleted and cannot be restored. You can backup Excel files.
- Each party may terminate this Agreement for any reason, with respect to any or all Subscription Services: (a) with thirty (30) days ' notice to the other party in the event of a material breach, if this breach is not corrected at the end of this period; (b) if the other party has commenced bankruptcy proceedings or so other insolvency-related proceedings Liquidation or settlement in favour of creditors, unless cancelled within 60 days. We may also terminate this Agreement subject to seven (7) days notice if we find that you are acting or acting in a manner that could adversely affect our customers, prospects or the integrity of the Service.
- Denial of Access: We may suspend or restrict any or all User access to the Subscription Services without prior notice in the event of: (a) use of the Service in a manner that violates the applicable local, state and local laws and regulations or the terms of this Agreement; (b) in the event of use of the Service for the purpose of spam / spam messages, or (c) Posting or uploading material that infringes or purportedly infringes the copyright or trademarks of any person or entity.
- מבלי לגרוע מן האמור לעיל, טרבון שומרת לעצמה את הזכות להפסיק בכל עת, על פי שיקול דעתה הבלעדי, את הפעילות באתר ו/או להשעות או להגביל כל גישה של משתמש לשירותים המוענקים באתר, ללא הודעה מוקדמת, לרבות, אך לא רק, בכל אחד מהמקרים המפורטים להלן: (א) בכל מקרה שבו נעשתה פעולה בניגוד לתקנון זה; (ב) בכל מקרה בו המשתמש ביצע מעשה בלתי חוקי ו/או עבר על הוראות הדין; (ג) במקרה בו המשתמש מסר בעת ביצוע עסקה רכישת שירותים ו/או לאחר מכן פרטים שגויים; (ד) המשתמש ביצע מעשה או מחדל שיש בו כדי לפגוע בטרבון ו/או במי מטעמה ו/או בפעילותו התקינה של האתר ו/או בצד ג׳ אחר כלשהו; (ה) בכל מקרה אשר בו, מחמת ״כח עליון״, אין באפשרות טרבון לבצע ניהול תקין של האתר, לספק למשתמש את השירותים ו/או לעמוד בהתחייבות אחרת שלה. בסעיף זה ״כח עליון״ משמעו: לרבות תקלות מחשב, תקלות במערכת טלפונים או תקלות במערכות תקשורת אחרות, חבלה כלשהי, שביתה ו/או אירוע ביטחוני. בכל אחד מן המקרים לעיל, רשאית טרבון לבטל את העסקה או להציע למשתמש שירות אחר, לפי שיקול דעתה ובהתאם לנסיבות הביטול. בוטלה עסקה כאמור טרבון לא תהיה אחראית ולא תישא, בכל מקרה, בכל נזק ישיר, עקיף, תוצאתי או מיוחד שנגרם למשתמש או לצד שלישי לרבות אך לא רק נזק בגין רכישת השירות אצל צד שלישי במחיר גבוהה יותר.
- Suspension for non-payment: We will provide you with notice of non-payment. If the full amount has not been paid, we may suspend your access to all or all of the Subscription Services ten (15) days after notice.
- If you pay a subscription fee to us, then you will be entitled to support available on the dates listed on our website, via email or in-system chat or by contacting WhatsApp. Technical support is included in the subscription price, unless otherwise set forth between us. Our services are available from 17: 30-08: 30 Israel time, Sunday – Thursday, not including Fridays, Saturdays holidays and holiday evenings.
- This Agreement grants you permission to use the Service only, and you do not obtain any license for the Software and/or its components. The Service and the software through which it is granted, and all intellectual property rights therein, belong to and are solely owned. You undertake not to copy, rent, lease, sell, distribute or create derivative works based on our Service or feature, in whole or in part, by any means, except as expressly authorized in writing by us.
- כל זכויות הקניין הרוחני בכל התכנים באתר טרבון, לרבות סימני המסחר, הפטנטים, זכויות היוצרים, המדגמים, השיטות והסודות המסחריים, הינם רכושה של טרבון בלבד. זכויות אלה חלות, בין היתר, על עיצובו הגרפי של אתר טרבון, בסיסי הנתונים, קוד המחשב של האתר וכל פרט אחר הקשור בהפעלתו. אין להשתמש בנתונים כלשהם המתפרסמים באתר טרבון לצורך הצגתם באתר אינטרנט או בשירות אחר כלשהו בניגוד להוראות ההסכם ו/או בלי לקבל את הסכמת טרבון מראש ובכתב ובכפוף לתנאי אותה הסכמה (אם וככל תינתן). בכלל זה נאסר לאסוף נתונים מן האתר באמצעות תוכנות ו/או להפיץ נתונים כאלה באופן מסחרי או במסגרת מסחרית.

General and Jurisdiction
מובהר כי טרבון רשאית, על פי שיקול דעתה, להפסיק את פעילות האתר ו/או פעילות משתמש באתר, בכל עת ומכל סיבה שהיא, ללא הודעה מראש.
טרבון שומרת לעצמה את הזכות למנוע את הגישה לאתר ו/או לאפשרות להנות משירותי האתר ו/או לבטל השתתפות של משתמש בהתנהגותו אינה הולמת או שאינה לפי תקנון השימוש, או המנסה לפגוע בניהולו התקין של האתר.
תקנון זה ניתן לשינוי ו/או עדכון בכל עת ע״י טרבון ו/או מי מטעמה, על פי שיקול דעתם הבלעדי, בהודעה לכתובת הדוא״ל של המשתמש אשר נמסרה במסגרת ההרשמה.
